ROC (Registrar of Companies) compliance refers to mandatory annual filings every company must submit to the Ministry of Corporate Affairs (MCA). These include the annual return (MGT-7), financial statements (AOC-4), and other periodic filings. Non-compliance attracts penalties of ₹100–₹200 per day per form, plus risk of the company being struck off the register.
Late MCA filings attract additional fees — currently ₹100 per day per form with no maximum cap. For example, filing MGT-7 one month late costs ₹3,000 extra. If defaults continue, the Registrar can initiate action to strike off the company and directors can be disqualified from holding directorships.
A Private Limited Company must hold its first Annual General Meeting within 18 months of incorporation. Subsequently, AGMs must be held every year within 6 months of the financial year end (i.e., by September 30 for a March 31 year-end). After the AGM, MCA filings must be completed within 30–60 days.
DIR-3 KYC is an annual KYC verification required for every individual holding a Director Identification Number (DIN). It must be filed by September 30 each year. Failure to file deactivates the DIN, which means the director cannot act as a director, sign documents, or file any form until the DIN is reactivated (with a ₹5,000 penalty).
Yes. Even a dormant company (one with no transactions) must file annual returns and financial statements with MCA. The company can apply for dormant status under Section 455, which reduces filing requirements, but basic annual filings are still required.
Extended non-compliance leads to the company being labelled a "defaulting company" and directors being disqualified under Section 164(2). Disqualified directors cannot be reappointed as directors in any company for 5 years. The company may be struck off under Section 248. We help companies regularize past defaults through CFSS (Companies Fresh Start Scheme) when applicable.
